Terms of Service

These Terms govern your access to and use of SOMEWHERE. Please read them before creating an account or using the Services.

1. Acceptance of these Terms

These Terms of Service (“Terms”) are an agreement between you and SOMEWHERE Studio, Inc. (“SOMEWHERE,” “we,” “us,” or “our”). They apply to the SOMEWHERE mobile application, meetsomewhere.co, and related products and services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use SOMEWHERE. You may not use the Services if you are barred from doing so under applicable law or if we previously suspended or removed your account for violating these Terms, unless we give you written permission to return.

3. Your account

You agree to provide accurate, current information and to keep it up to date. You are responsible for activity on your account and for safeguarding your credentials and devices. Do not share, transfer, sell, or create an account for someone else. Tell us promptly if you believe your account has been accessed without permission.

You authorize us and our service providers to send verification codes and service-related messages to the phone number or email address you provide. Message and data rates may apply.

4. Permission to use the Services

Subject to these Terms, SOMEWHERE gives you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for their intended, noncommercial purpose. You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, or attempt to extract source code or data from the Services except where applicable law does not allow those restrictions.

5. Community rules

You may not use the Services to:

  • threaten, harass, stalk, shame, exploit, or harm another person;
  • post hateful, discriminatory, sexually exploitative, violent, deceptive, or unlawful content;
  • impersonate anyone, misrepresent your identity or intentions, or use misleading photos or profile information;
  • solicit money, commit fraud, promote commercial services, spam, or recruit users without our written permission;
  • collect, publish, or misuse another person’s private information;
  • upload malware, interfere with the Services, evade security or moderation controls, or access data without authorization;
  • use bots, scripts, automated accounts, or scraping tools without our written permission; or
  • encourage or help anyone violate these Terms or applicable law.

We may investigate suspected violations and remove content, limit features, or suspend accounts when reasonably necessary to protect the community or the Services.

6. Your content

You keep ownership of photos, audio, messages, profile information, lists, feedback, and other content you submit (“Your Content”). You represent that you have the rights and permissions needed to submit Your Content and that it does not violate law or another person’s rights.

You grant SOMEWHERE a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt, display, and distribute Your Content only as needed to operate, secure, maintain, and improve the Services, subject to your settings and our Privacy Policy. This license ends when Your Content is deleted from our systems, except where continued retention is permitted by these Terms or required by law.

Some content is shared with other users. Information they have already received—such as a message—may remain in their account after you delete yours.

7. Interactions and personal safety

SOMEWHERE does not control the conduct of users or venues and does not guarantee any user’s identity, intentions, statements, or compatibility. Unless we expressly say otherwise, we do not conduct criminal background checks. Use judgment when interacting with others, protect personal and financial information, meet in public, and tell someone you trust about your plans.

You can block or report users through available safety tools. If you believe there is an immediate threat or emergency, contact local emergency services first.

8. Matches and recommendations

Recommendations may be based on profile details, shared places, taste, preferences, activity, location signals, and safety or eligibility rules. We do not promise a particular match, response, result, relationship, plan, or experience, and recommendations may change at any time.

9. Purchases, subscriptions, and tokens

Paid features may be offered through an app store or another payment provider. Prices, taxes, billing periods, renewal terms, and refund rights will be shown at purchase. App-store purchases are also governed by that store’s terms, and you generally must manage or cancel a subscription through the store where you bought it.

In-app tokens, credits, or similar items are a limited license to use designated features. They have no cash value, are not property or legal tender, and may not be transferred or resold except where we expressly allow it. Nothing in these Terms limits non-waivable refund or cancellation rights under applicable law.

10. Third-party services and places

The Services may use or link to third-party maps, place listings, venues, app stores, reservations, websites, or other services. We do not control those third parties and are not responsible for their content, availability, terms, privacy practices, prices, or conduct. A place or service appearing in SOMEWHERE is not necessarily an endorsement.

11. Suspension, termination, and account deletion

You may stop using the Services at any time and may request account deletion through available settings. We may suspend, restrict, or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, or used the Services in a way that could harm users, third parties, or SOMEWHERE.

Provisions that by their nature should survive termination will survive, including those concerning ownership, licenses already granted, disclaimers, liability, disputes, and general terms.

12. SOMEWHERE’s rights

The Services—including our software, design, brand, text, graphics, and other materials, excluding Your Content—are owned by SOMEWHERE or our licensors and are protected by intellectual-property laws. No rights are granted except as expressly stated in these Terms.

If you submit feedback or ideas, you allow us to use them without restriction or compensation, and without any obligation to you.

13. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” SOMEWHERE disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation. We do not warrant the conduct of users, venues, or other third parties.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

14. Limitation of liability

To the fullest extent permitted by law, SOMEWHERE and its directors, officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or opportunities, arising from or related to the Services or these Terms.

To the fullest extent permitted by law, our total liability for all claims arising from or related to the Services or these Terms will not exceed the greater of the amount you paid SOMEWHERE in the 12 months before the event giving rise to the claim or US $100. These limits do not apply where prohibited by law.

15. Disputes and governing law

Before filing a formal claim, you and SOMEWHERE agree to try to resolve the dispute informally by sending a written description of the issue and requested resolution. Either party may proceed after 30 days if the dispute has not been resolved.

Except where the law where you live requires otherwise, these Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Courts located in New York County, New York will have exclusive jurisdiction over disputes arising from these Terms or the Services. Nothing here limits rights you cannot waive under applicable consumer law.

16. General terms

These Terms and the Privacy Policy are the entire agreement between you and SOMEWHERE about the Services. If a provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Section headings are for convenience only.

17. Changes to these Terms

We may update these Terms as the Services or applicable law changes. We will post the revised Terms, update the effective date, and provide additional notice where required. If you continue using the Services after updated Terms take effect, you agree to the revised Terms.
